Terms of Service

1. ACCEPTANCE OF TERMS

By accessing or using the MessagePhone/Teltech services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use the Service!

2. SERVICE DESCRIPTION

The Service provides telephony and IVR solutions. The Service is provided on an "AS-IS" and "AS-AVAILABLE" basis.

3. PRICING AND PAYMENT

3.1 The Company reserves the absolute right to change, modify, increase, or decrease service rates and pricing at any time, including on a monthly basis, without prior notice.

3.2 All payments are final. NO REFUNDS will be provided under any circumstances, including but not limited to:

Service not meeting user expectations
Technical issues or service interruptions
Features not functioning as expected
User decision to discontinue use
Account termination for any reason

4. SERVICE TERMINATION

The Company reserves the absolute right to suspend, limit, or terminate any user account or service at any time, for any reason or no reason, without prior notice and without obligation to provide explanation.

5. DID NUMBER OWNERSHIP AND PORTABILITY

5.1 All DID numbers remain the exclusive property of the Company.

5.2 NO PORT-OUT RIGHTS: Users have NO right to port out, transfer, or take ownership of any DID numbers. DID numbers cannot be transferred to another carrier under any circumstances.

6. USER RESPONSIBILITIES

Users agree to comply with all applicable laws, regulations, and religious guidelines (Halacha) in their use of the Service.

7. LIMITATION OF LIABILITY

THE SERVICE IS PROVIDED "AS-IS" WITHOUT WARRANTIES OF ANY KIND. The Company shall not be liable for any damages arising from use of the Service.

8. INDEMNIFICATION AND LEGAL COSTS

8.1 Users agree to defend, indemnify, and hold harmless the Company from any and all claims, damages, losses, and expenses (including attorney fees).

8.2 In the event of any legal claim against the Company relating to a user, the user shall be responsible for ALL legal costs, attorney fees, and any judgments, without limitation.

8.3 The Company may engage legal counsel at its discretion, with all costs to be borne by the user.

9. WAIVER OF LEGAL ACTION

BY USING THIS SERVICE, USERS EXPRESSLY WAIVE ANY RIGHT TO BRING LEGAL ACTION, INCLUDING LAWSUITS, CLASS ACTIONS, OR ARBITRATION CLAIMS, AGAINST THE COMPANY.

10. ADVERTISING

The Company reserves the right to display advertisements within the Service at any time.

11. MODIFICATIONS TO TERMS

The Company may modify these Terms at any time without prior notice. Continued use constitutes acceptance.

12. GOVERNING LAW

These Terms shall be governed by the laws of the United States and Israel. The Company operates in accordance with Halacha (Jewish religious law).
